These terms govern all sales by 99Imperial Distribution Ltd (company number 15330184), trading as 99 Imperial Cash & Carry (“we”, “us”). By placing an order you accept them.
1. Trade customers only
We sell only to businesses buying in the course of trade. By opening an account you confirm you are acting for a business and not as a consumer. Consumer rights under the Consumer Rights Act 2015 do not apply to these sales.
2. Accounts
We may accept or decline any application at our discretion, and may suspend an account for non-payment or misuse. You are responsible for keeping your sign-in details secure and for any order placed using them. Tell us at once if you believe they have been compromised.
3. Prices
Prices are shown per case, exclusive of VAT, and reflect the price band assigned to your account. They can change without notice; the price that applies is the one confirmed when we accept your order. Prices exclude delivery unless stated.
4. Orders
An order placed online is an offer to buy. A contract forms only when we confirm acceptance. We may decline or limit any order, including where stock is unavailable or a line is restricted. Goods are sold by the full case; we do not split cases. Minimum order values are shown at checkout.
5. Restricted goods
Alcohol and tobacco lines are supplied only to accounts holding the relevant licence, a copy of which must be on file. You must comply with all applicable licensing, age-restriction and display legislation when reselling.
6. Delivery and collection
Delivery dates are estimates and time is not of the essence. Risk passes on delivery or on collection. Title passes only when we have received payment in full. You must check goods on arrival and report shortages, damage or incorrect items within 24 hours.
7. Payment
Prepay accounts must pay in cleared funds before dispatch. Credit accounts must pay within the agreed terms. We may charge statutory interest and compensation on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.
8. Returns
We do not accept returns of correctly supplied goods, including chilled, frozen and short-dated lines, unless agreed in writing beforehand. Faulty or incorrectly supplied goods will be credited or replaced.
9. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, we are not liable for loss of profit, loss of business or indirect loss, and our total liability for any order is limited to the price paid for that order.
10. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
