These terms govern your use of 99imperialcashandcarry.co.uk. They apply to everyone who visits the site, whether or not you hold an account or place an order. If you do order from us, our terms and conditions of sale apply as well and take precedence on anything to do with the supply of goods.

By using the site you accept these terms. If you do not accept them, please do not use the site.

1. Who we are

99imperialcashandcarry.co.uk is owned and operated by 99Imperial Distribution Ltd, registered in England and Wales under company number 15330184. 99 Imperial Cash & Carry is a trading name of that company and is not a separate legal entity.

2. The site is aimed at trade

This is a trade-only wholesale site. Nothing on it is an offer to sell to consumers, and prices are shown only to approved business accounts. Product listings are an invitation to treat, not an offer capable of acceptance.

3. Your account

You must give accurate information when applying for an account and keep it up to date. You are responsible for keeping your password confidential and for everything done using your sign-in details. Tell us immediately at biz@99imperial.co.uk if you believe they have been compromised. We may suspend or withdraw an account at our discretion, including where we suspect misuse.

4. Acceptable use

You must not:

• use the site unlawfully, fraudulently, or for any harmful purpose;
• scrape, harvest, or systematically extract our product listings, prices or other content, whether manually or by automated means;
• attempt to gain unauthorised access to the site, its server, or any account that is not yours;
• introduce any virus, trojan, or other malicious code;
• share trade prices shown to your account with anyone outside your business.

Attacking the site may be a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant authorities and cooperate with them, including by disclosing your identity.

5. Intellectual property

We own or are licensed to use all intellectual property in the site and its content, including the 99 Imperial name and logo, the page designs, the product descriptions and the compiled catalogue. The catalogue is also protected as a database. You may view and print pages for your own business use; you may not copy, republish, or exploit any part of it commercially without our written permission.

6. Accuracy and availability

We take care over the content of the site, but we do not warrant that it is accurate, complete or current. Product specifications, pack sizes, images and stock status may change, and pricing is confirmed only when we accept an order. We do not guarantee that the site will be available uninterrupted, and we may suspend, withdraw or restrict it at any time without notice.

7. Liability

Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that, and because you use the site in the course of business, we exclude all implied warranties and are not liable for loss of profit, loss of business, business interruption, or loss of anticipated savings arising from use of the site.

8. Linking

You may link to our home page provided you do so fairly, legally, and in a way that does not suggest any association or endorsement that does not exist. We may withdraw linking permission at any time. Where we link out to third-party sites, we have no control over them and accept no responsibility for their content.

11. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
